  • Third-Party Product Warranties: To the extent that a product is produced by a third-party manufacturer, that product may be covered by an independent manufacturer’s warranty packaged with the item. Warranty claims must be directed to the manufacturer. ThingHub.io shall not be held liable under any circumstances for a manufacturer’s failure to honor its warranty obligations.

5. Limitation of Liability

Damages Exclusion: ThingHub.io shall not be liable for any special, punitive, exemplary, indirect, incidental, consequential damages, lost profits, or diminution in value resulting from the use or inability to use our site materials or hardware performance. This applies regardless of the legal theory invoked and whether or not the damages were foreseeable.

  • Maximum Cap: ThingHub.io’s sole and exclusive liability for any verified claims or defective products shall be limited strictly to replacing the defective items, or providing a refund of the original purchase price if a replacement is unavailable. This risk allocation is an essential element of our commercial bargain.

6. Shipments, Delivery & Risk of Loss

ThingHub.io will coordinate product shipping based on the choices selected during checkout, with the customer covering all listed shipping and handling charges. Title and risk of physical loss pass entirely to you the moment the products are transferred to the carrier. All delivery timelines are estimates only; ThingHub.io is not liable for carrier transit delays.

7. Returns and Refunds

ThingHub.io maintains no legal obligation to process refunds, returns, or product exchanges except in strict accordance with our official Return Policy. Defective product claims are governed independently by Section 4.

8. Force Majeure

ThingHub.io will not be held liable or deemed in default for any fulfillment delays or performance failures caused by circumstances beyond our reasonable control. This includes acts of God, fires, floods, explosions, governmental actions, civil unrest, labor strikes, carrier restraints, supply chain shortages, utility power outages, or regional pandemics.

9. Typographical & Pricing Errors

In the event that a hardware item is mistakenly listed at an incorrect price, ThingHub.io reserves the right to refuse or cancel any orders placed for that item. We maintain this right regardless of whether the order has been confirmed and your payment method charged. If your credit card has already been billed, ThingHub.io will promptly issue a full credit to your account in the amount of the incorrect charge.

10. Term & Termination

These terms become immediately applicable to you upon accessing the website, registering a corporate account, or completing a purchase. ThingHub.io reserves the right to amend or terminate these terms without prior notice at any time. Provisions regarding Intellectual Property, Warranties, Liability, Indemnification, and Dispute Resolution explicitly survive any contract termination.

11. Notices

ThingHub.io may deliver official notices to you via the corporate email address you provided, through a generalized notice posted directly on the website, or by other reliable communication methods.

12. Governing Law & Jurisdiction

Your use of this site and all subsequent hardware transactions shall be governed in all respects by the laws of the State of Georgia, U.S.A., without regard to choice of law provisions. The 1980 U.N. Convention on Contracts for the International Sale of Goods is explicitly excluded.

  • Statute of Limitations: Any legal cause of action or claim relating to this site or product purchases must be formally commenced within six (6) months after the underlying claim arises, or it shall be permanently waived and released.

13. Dispute Resolution and Binding Arbitration

Class Action & Jury Waiver: You and ThingHub.io agree to completely waive all rights to litigate claims in a court of law or before a jury, or to participate in a class action or representative action regarding any dispute.

  • Mandatory Arbitration: Any pre-existing, present, or future dispute or controversy arising from your purchase of products or use of this site shall be submitted exclusively to mandatory, final, and binding arbitration.
  • Administration: The arbitration will be administered solely by the American Arbitration Association (“AAA”) in accordance with the Commercial Arbitration Rules in effect at that time.
  • The Arbitrator: The proceeding will be conducted by a single mutually agreed-upon arbitrator. If the parties cannot reach an agreement within 30 days, the AAA will appoint the arbitrator. The arbitrator must be an attorney licensed in Georgia with at least ten (10) years of professional experience.
  • Venue & Language: The physical place of arbitration shall be Atlanta, Georgia, U.S.A., and conducted entirely in the English language. The ruling shall be written, outline the underlying reasons for the award, and be final.
  • Fees & Confidentiality: The prevailing party, as determined by the arbitrator, shall be entitled to recover reasonable costs and legal fees. Both parties must maintain strict confidentiality regarding all evidence, testimonies, and awards resulting from the proceeding.

14. Prohibited Site Conduct

Harassment in any form on the website—including via email, live chat, or the use of abusive language—is strictly forbidden. Impersonating others, including ThingHub.io employees, hosts, or other site visitors, is prohibited.

  • System Integrity: You may not upload or distribute any content that is defamatory, obscene, illegal, or invasive of privacy rights.
  • Security & Reverse Engineering: You are strictly prohibited from attempting to gain access to ThingHub.io’s internal administrative tools, disrupting website operations, or attempting to reverse engineer, access, or decompile any underlying source code of the website or purchased products.

15. User Participation Disclaimer

ThingHub.io does not routinely monitor all materials or communications posted by users and is not responsible for the content of these user-generated transmissions. We act purely as a passive conduit. However, we reserve the absolute right to block or remove any communications that we deem abusive, deceptive, fraudulent, or in direct violation of a third party’s intellectual property rights.

16. Indemnification

You agree to indemnify, defend, and hold harmless ThingHub.io, its officers, directors, employees, agents, and suppliers from and against all losses, operational expenses, damages, and costs—including reasonable attorneys’ fees—resulting from your violation of these Terms, your infringement of any third-party intellectual property or privacy rights, or any negligent or wrongful activity tied directly to your user account.

17. Third-Party Links

To provide added value, ThingHub.io may provide outbound links to websites operated by third parties. ThingHub.io maintains zero control over these external sites, each of which features independent privacy and data collection practices. Accessing linked sites is completed entirely at your own risk, and ThingHub.io accepts no liability for their content or operations.

18. Sales & Use Tax Disclaimer

Products sold by ThingHub.io may be subject to state and local taxes. We endeavor to collect sales tax for purchases shipped within the United States, calculated exclusively using the provided shipping address. We do not collect sales tax for international orders.

  • Tax Discrepancy Window: If you believe you have been charged sales tax in error, you must formally notify us within fourteen (14) days of the purchase date to receive a credit. Beyond 14 days, sales tax corrections cannot be refunded.
  • Customer Liability: If you are not charged sales tax by ThingHub.io, you remain solely and exclusively responsible for calculating, reporting, and self-assessing the appropriate “Use Tax” to your local state registry. ThingHub.io is not liable for any legal or financial repercussions resulting from a customer’s failure to settle outstanding local use taxes.

19. Late Payments

Any invoice balances settled via credit card outside of the designated net terms period printed on the primary invoice shall automatically incur an immediate 3.5% surcharge, due and payable immediately.

20. Customer Representations & Warranties

By accessing this site and executing a transaction, you represent and warrant that you are purchasing hardware products for your organization’s internal use, and not for unauthorized commercial resale or international export. You warrant that your deployment and use of the hardware will comply with all local, state, and federal regulations.

21. Assignment

You may not assign your contractual rights or obligations under these Terms to any third party without the express prior written consent of ThingHub.io. Any unauthorized assignment is null and void. ThingHub.io may freely assign its rights and duties under this Agreement at any time without providing notice to you.

22. Entire Agreement

These standard Terms and Conditions, along with your official ThingHub.io order confirmation and any referenced corporate policies, constitute the complete, final, and integrated agreement between you and ThingHub.io regarding the subject matter herein.
